These Terms of Use (“Terms”) govern your use of sigma5.io and Our data room (together, the “Site”), operated by Sigma5, Inc. (“Sigma5,” “We,” “Us”). By using the Site, you agree to these Terms. If you do not agree, do not use the Site.

Using the Site

The data room

The data room is available only to people We invite. If We give you access, you agree to:

• Keep your sign-in links and any password to yourself, and tell Us promptly if you think someone else has used them.
• Treat the materials in the data room as confidential, use them only to evaluate your relationship with Sigma5, and not copy, forward, or disclose them to anyone else without Our written permission.

If you have signed a separate confidentiality or other agreement with Sigma5, that agreement governs the data room materials where it conflicts with these Terms. We may change or end your access to the data room at any time.

Nothing on the Site, including in the data room, is an offer to sell or a solicitation of an offer to buy any security. Any such offer will be made only through definitive documents.

Our content

The Site and its content, including text, graphics, logos, images, video, and documents, are owned by Sigma5 or its licensors and are protected by intellectual property laws. We grant you a limited, revocable, non-exclusive license to view the Site for your own purposes. You may not otherwise copy, modify, distribute, or create works based on it without Our written permission. “Sigma5” and Our logos are Our trademarks.

Things you may not do

• Access parts of the Site you are not authorized to use, or try to.
• Interfere with or disrupt the Site, or probe or test its security.
• Scrape, crawl, or harvest the Site by automated means beyond ordinary indexing.
• Use the Site to violate any law or the rights of others.

Governing law

These Terms are governed by the laws of the State of California, without regard to its conflict of laws rules. Any dispute relating to these Terms or the Site will be brought exclusively in the state or federal courts located in California, and you consent to their jurisdiction.

General

If any part of these Terms is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver of it. These Terms are the entire agreement between you and Sigma5 about the Site, except where a separate written agreement applies.
